Ferretti's Booming Battle Board: KKCG Maritime's Full Slate and the Fight for Control
A dramatic course has been set in the world of shipbuilding. KKCG Maritime has proposed a full list of ten candidates to take helm at Ferretti’s board of directors. This intriguing move beyond ordinary corporate ebb and flow has sent ripples through the industry, turning the tides towards an uncharted battleground for control over one of the most iconic shipyards in the world. The trigger was KKCG’s closing of a voluntary partial tender offer on 13 April, securing valid acceptances for just over 29.6 million shares. This is an impressive 56.8% of the maximum sought and a decent 8.7% of Ferretti’s total share capital, indicating strong trust among shareholders. A tsunami of share transfers were made on the final day alone, amounting to more than 13.5-million. Despite falling below the 52-million share cap, KKCG, in a move bold as brass, committed to purchasing all tendered shares at €3.90 per share amounting to around €115.5 million. This boosts KKCG Maritime holdings to approximately 78.6 million shares - commanding about 23.248% of Ferretti’s subscribed and paid-in share capital. This daredevil move compliments the proposed board’s construction, centred around Karel Komarak’s candidacy for chairman. Komárak is adamant in maintaining effective leadership through Alberto Galassi, aiming to enhance the company’s strategic opportunities and long-term value creation. Side by side him breathes KKCG’s chief financial officer and a former high-seas Morgan Stanley investment pirate, Katarína Kohlmayer and board takeover captain Kamil Zeman. The fire in the belly of KKCG Maritime is clear as they charge towards a full board takeover of the Italian shipyard. They have not only retained current Ferretti directors Piero Ferrari and Stefano Domenicali, but have also added considerable private equity market weight. However, the ace up the sleeve may well be the appointment of Bader Al-Kharafi, indicating meaningful involvement from the Middle East region with its high-yield networks. Only time will tell the victorious flag bearing ship in this battle for control over one of the most iconic shipyards in the world. It’s full sail ahead as we await Ferretti’s response and the final chapter of this high-seas drama.
